Terms and Conditions

1. Scope

These terms and conditions apply to all contracts and services between EST Ventures GmbH ("Contractor") and the customer ("Client"), in particular for the development, implementation and support of digital solutions, AI agents, funnel systems and related services. Deviating conditions of the client only apply if they have been confirmed in writing.

2. Subject Matter and Services

2.1 The contractor offers, among others, the following services:

• Development and operation of process solutions and digital workflows (e.g. automations, AI-supported systems)
• Setup and support of digital campaigns (e.g. Meta Ads, appointment bookings)
• Consulting and implementation in the areas of process optimization, change management, and digital transformation
• Technical support, maintenance and ongoing optimization

2.2 Services can be provided one-time, project-based or on a monthly basis.

2.3 In case of performance-based compensation, the client commits to transparent disclosure of relevant revenues.

3. Client Cooperation Obligations

3.1 The client provides all required information, content and access in a timely manner.

3.2 Delays due to lack of cooperation extend agreed deadlines. Ongoing compensation remains unaffected.

3.3 In case of short-term cancellation (<24h) of an agreed appointment, additional costs may be charged.

3.4 There is no obligation to reorganize resources free of charge in case of delay by the client.

4. Payment Terms

4.1 All prices are exclusive of VAT.

4.2 Invoices are to be paid within 14 days of the invoice date.

4.3 In case of payment delay:

• 9% default interest p.a. above the base rate
• Reminder fee: €10 per reminder
• Suspension of ongoing services until payment

4.4 Advance payments or partial payments can be requested at any time.

5. Ownership & Usage Rights

5.1 All delivered services remain the property of the contractor until full payment.

5.2 After full payment, the client receives a non-transferable usage right within the scope of the agreed purpose.

5.3 Transfer to third parties is prohibited without written consent.

6. Confidentiality & Data Protection

6.1 Both parties commit to confidentiality.

6.2 The provisions of the GDPR apply. Details see privacy policy.

6.3 The client is responsible for GDPR-compliant use of the systems.

7. Warranty & Support

7.1 Proper provision of services is guaranteed.

7.2 Defects must be reported in writing within 7 days of delivery.

7.3 No liability is assumed for restrictions by third-party providers (Meta, Google, APIs, etc.).

8. Liability

8.1 Liability only in case of gross negligence or intent.

8.2 In case of slight negligence, liability is limited to typical, foreseeable damages.

8.3 Liability for indirect damages, lost profits or data loss is excluded.

8.4 No liability is assumed for services of third parties (e.g. tools, platforms).

9. Withdrawal & Termination

9.1 Withdrawal is possible in case of serious breach of contract and unsuccessful setting of a deadline.

9.2 Monthly ongoing services can be terminated with 30 days' notice to the end of the month, unless otherwise agreed.

9.3 Services already provided remain payable upon termination.

10. Final Provisions

10.1 Changes to these terms and conditions require written form.

10.2 If individual provisions are invalid, all others remain valid.

10.3 Austrian law applies exclusively, place of jurisdiction is Vienna.
